By accessing or using AI Exchange ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Platform.

These Terms apply to all visitors, users, publishers, and others who access or use the Platform. We reserve the right to update these Terms at any time without prior notice. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.

2. Definitions

• "User" refers to any individual who accesses or uses the Platform.
• "Publisher" refers to any individual or entity that registers as a publisher to list AI tools or products on the Platform.
• "Content" refers to all information, data, text, images, logos, and other materials uploaded to or displayed on the Platform.
• "AI Tool" refers to any software, service, or product related to artificial intelligence listed on the Platform.
• "Subscription" refers to any paid plan purchased by a Publisher.

3. User Accounts

3.1 Account Creation

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Restrictions

• You must be at least 13 years old to create an account.
• You may not create multiple accounts for fraudulent purposes.
• You may not share your account credentials with others.
• You may not use another person's account without permission.

4. User Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any laws.
• Post or transmit any content that is defamatory, obscene, abusive, or offensive.
• Harass, threaten, or intimidate other users.
• Impersonate any person or entity or falsely state your affiliation with any person or entity.
• Interfere with or disrupt the Platform or servers connected to the Platform.
• Attempt to gain unauthorized access to any portion of the Platform.
• Use any automated means to access the Platform without our express written permission.
• Collect or harvest any personally identifiable information from the Platform.
• Submit false, misleading, or fraudulent reviews or ratings.
• Engage in any activity that could damage, disable, or impair the Platform.

5. Content Policy

5.1 User-Generated Content

Users may submit reviews, ratings, comments, and other content ("User Content"). You retain ownership of your User Content but grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content in connection with the Platform.

5.2 Content Standards

All User Content must:

• Be accurate and truthful.
• Not infringe on any third-party rights.
• Not contain malware, viruses, or harmful code.
• Comply with all applicable laws and regulations.

5.3 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice. We are not obligated to monitor all content but may do so at our discretion.

6. Publisher Terms

6.1 Publisher Registration

To become a Publisher, you must complete our registration process and provide accurate business information. By registering as a Publisher, you represent and warrant that:

• You have the authority to enter into this agreement on behalf of your organization.
• All information provided during registration is accurate and complete.
• You have the right to list the AI tools or products you submit.
• Your listings comply with all applicable laws and regulations.

6.2 Listing Requirements

Publishers must ensure that all tool listings:

• Accurately describe the AI tool or product.
• Include only logos and images you have the right to use.
• Do not contain false, misleading, or deceptive claims.
• Do not promote illegal activities or prohibited content.
• Are properly categorized and tagged.

6.3 Publisher Responsibilities

Publishers are responsible for:

• Maintaining accurate and up-to-date listings.
• Responding to user inquiries in a timely manner.
• Ensuring their AI tools function as described.
• Complying with all applicable data protection laws.
• Providing accurate pricing information.

6.4 Verification Badge

Publishers with active subscriptions may receive a "Verified Publisher" badge. This badge indicates that the Publisher has completed our verification process and maintains an active subscription. We reserve the right to revoke verification status at any time for any reason.

6.5 Featured Listings

Featured listings are subject to availability and our approval. We reserve the right to refuse or remove any featured listing that does not meet our quality standards or violates these Terms.

7. Payments & Subscriptions

7.1 Subscription Plans

Publisher subscriptions are available at the prices listed on our pricing page. All prices are in USD unless otherwise specified. Prices are subject to change with notice.

7.2 Payment Processing

All payments are processed through secure third-party payment processors (Razorpay). We do not store your complete payment card information on our servers. By making a payment, you agree to the payment processor's terms of service.

7.3 Billing & Renewal

• Subscriptions are billed in advance for the selected period.
• Subscriptions may auto-renew unless cancelled before the renewal date.
• You may cancel your subscription at any time through your dashboard.
• Cancellation takes effect at the end of the current billing period.

7.4 Refund Policy

Refunds are handled on a case-by-case basis. Generally, we offer refunds within 7 days of purchase if services have not been significantly used. To request a refund, please contact our support team at info@aiexchange.tech.

8. Intellectual Property

8.1 Platform Ownership

The Platform and its original content, features, and functionality are owned by AI Exchange and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Trademarks

"AI Exchange" and our logo are trademarks of AI Exchange. You may not use these trademarks without our prior written consent. Third-party trademarks displayed on the Platform are the property of their respective owners.

8.3 Copyright Infringement

If you believe that any content on the Platform infringes your copyright, please contact us with the following information:

• A description of the copyrighted work claimed to be infringed.
• The location on the Platform of the allegedly infringing material.
• Your contact information.
• A statement that you have a good faith belief that the use is not authorized.
• A statement that the information in the notice is accurate.

9. Disclaimers

9.1 Platform "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Third-Party Content

We do not endorse, warrant, or guarantee any AI tools, products, or services listed on the Platform. We are not responsible for the accuracy, quality, safety, or legality of any third-party content or products.

9.3 No Professional Advice

The Platform provides information for general informational purposes only. Nothing on the Platform constitutes professional, legal, financial, or technical advice. You should consult appropriate professionals before making any decisions based on information found on the Platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI EXCHANGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, or business opportunities.
• Any damages arising from your use or inability to use the Platform.
• Any damages arising from third-party products or services.
• Any damages exceeding the amount you paid us in the past 12 months.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless AI Exchange and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your User Content or listings.
• Your use of the Platform.
• Your violation of any third-party rights.
• Your violation of any applicable laws or regulations.

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Platform will immediately cease.

12.2 By Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms.
• Fraudulent, abusive, or illegal activity.
• Non-payment of applicable fees.
• Conduct harmful to other users or the Platform.

12.3 Effect of Termination

Upon termination, your license to use the Platform terminates. We may retain certain information as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved through:

1. Informal Resolution: We encourage you to contact us first to seek informal resolution of any disputes.
2. Mediation: If informal resolution fails, either party may initiate mediation.
3. Arbitration or Court: As a last resort, disputes may be resolved through binding arbitration or in the courts of Kolkata, West Bengal, India.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Platform after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Platform.
